Terms of Service

Last updated: 19 October 2026

Draft — pending legal review. Text in [square brackets] is still to be confirmed.

1. Agreement

These Terms of Service (“Terms”) are a contract between UnitOne AI [Private Limited — confirm exact registered name] (“UnitOne AI”, “we”), CIN [CIN], GSTIN [GSTIN], [Registered office address], [Hyderabad, Telangana], India, and the business that creates a Beyond Replying account (“you”, the “Customer”). By ticking the box at sign-up or using the service, you accept these Terms, our Acceptable Use Policy and our Data Processing Addendum, which form part of them. Our Privacy Policy explains how we handle personal data.

The person accepting confirms they are at least 18 and authorised to bind the business. Beyond Replying is for business use only, not for consumers acting for personal purposes.

2. The service

Beyond Replying is an AI sales receptionist. It answers your customers on the channels you connect (WhatsApp, a website chat widget, Telegram, Instagram, Facebook Messenger), takes orders and bookings, manages stock, and alerts you and your staff, with a dashboard for conversations, orders, catalog, offers and settings. Features differ by plan and may change as we improve the service; we will not materially reduce core functionality of a paid plan during a paid period.

3. Your account

  • Give accurate sign-up details and keep them up to date. New accounts may need our approval before going live.
  • Keep credentials secret. Owners and admins must use two-step login. You are responsible for everything done under your account and by the staff you invite.
  • Give staff only the access they need and remove people who leave.
  • Tell us promptly at privacy@unitoneai.com if you suspect unauthorised access.

4. Acceptable use and messaging rules

You must follow the Acceptable Use Policy. In particular:

  • No spam. Message only people who contacted you or who gave you clear opt-in consent to receive messages from you on that channel. No bulk unsolicited marketing, purchased lists or scraped numbers.
  • Follow platform rules. You must comply with the WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy and Commerce Policy, Meta Platform Terms and Instagram/Messenger policies, and the Telegram Terms of Service and Bot Developer Terms. Message templates must be approved by Meta. Honour opt-outs (customers can reply STOP) immediately.
  • Lawful goods and services only, and none that the platforms prohibit (for example weapons, drugs, tobacco, adult content, gambling, or regulated medical products without authorisation).
  • Comply with consumer protection, advertising, food safety, legal metrology and tax laws that apply to your business.

5. WhatsApp linked-device (QR) mode

Unofficial connection — at your own risk.

For some businesses we can connect a regular WhatsApp or WhatsApp Business app number by scanning a QR code as a “linked device”, instead of the official WhatsApp Business Platform (Cloud API). This mode is not an official Meta API and is not endorsed by WhatsApp. WhatsApp may limit, restrict or permanently ban a number that uses it, messages may be delayed or lost, and it can stop working without notice.

If you choose it, you accept these risks. UnitOne AI is not responsible for any restriction or ban of your number, loss of chats or contacts, or business lost as a result, and it is offered without any service level. We recommend moving to the official Cloud API for production use.

6. AI limitations and your oversight

  • AI can make mistakes. It may misunderstand a message, give an incomplete answer or, rarely, state something incorrect. It is instructed not to invent prices or policies and to hand off to a person under your rules, but it is not perfect.
  • You are responsible for your configuration: prices, stock, offers, delivery charges, policies, opening hours and escalation rules you set, and for keeping them accurate.
  • You confirm orders. Orders, refunds, deliveries and any promise made in your business’s name are your responsibility, including in Autopilot mode. Use Co-pilot mode and approval limits where you need a person to check first, and review conversations regularly.
  • Answers on industry topics are general information, not professional (medical, legal, financial) advice.
  • You must tell your customers they are chatting with an AI assistant. Beyond Replying adds this disclosure and a link to your privacy notice in the first reply; do not remove or contradict it.

7. Your customers’ data

You are the Data Fiduciary (controller) for your customers’ personal data and we are your Data Processor, as set out in the Data Processing Addendum. You must have a lawful basis to message your customers, publish a privacy notice (Beyond Replying gives you an editable one at /privacy/<your business id> and customer terms at /terms/<your business id>), choose a chat retention period, and handle your customers’ requests to access, correct or erase their data using the tools in the dashboard.

8. Plans, credits, billing and taxes

  • Plans include a monthly allowance of AI replies (“credits”), shown on the pricing page and in Usage & credits. Extra credits can be bought as top-ups. Unused credits, including top-ups, expire at the end of each monthly cycle.
  • When credits run out, AI replies pause (or, if you choose that setting, continue and the extra replies are billed) until the next cycle or a top-up. Staff can still reply manually.
  • Fees are in Indian rupees, billed [monthly in advance] through [payment gateway]. Prices exclude GST, which is added at the applicable rate; we issue GST-compliant tax invoices. Give us your GSTIN to claim input tax credit.
  • Fees are non-refundable except where these Terms or the law say otherwise. Free trials end automatically; nothing is charged without your confirmation of a paid plan.
  • We may change prices with at least [30] days’ notice; changes apply from your next billing period.
  • Unpaid invoices more than [15] days overdue may lead to suspension after notice.

9. Suspension

We may suspend all or part of the service, with notice where reasonably possible, if: you breach these Terms or the Acceptable Use Policy; a messaging platform requires it or restricts your account; your use threatens the security or stability of the service or others; fees are overdue; or the law or an authority requires it. We will restore service once the issue is resolved.

10. Termination, data export and deletion

  • You can stop using the service and close your account at any time; paid fees for the current period are not refunded.
  • We may terminate for material breach not cured within [15] days of notice, immediately for serious or repeated breaches (such as spam or illegal content), or with [30] days’ notice for any reason (with a pro-rata refund of prepaid fees).
  • Before closing, you can export your customers’ data and orders from the dashboard. After closure we delete your account and customer data within [90] days, except invoices and records we must keep by law, and data in backups, which expires on its normal cycle.

11. Intellectual property

We own Beyond Replying, its software, models’ prompts and configurations, design and brand; you get a non-exclusive, non-transferable right to use it during your subscription. You own your content — catalog, business information, and your conversations and orders — and grant us a licence to host and process it only to provide and support the service. If you send us feedback, we may use it freely. You must not copy, resell, reverse engineer or build a competing product from the service.

12. Confidentiality

Each party will keep the other’s non-public business, technical and customer information confidential, use it only for this agreement, and share it only with staff and contractors who need it and are bound by similar duties. This does not cover information that is public, already known, independently developed, or that must be disclosed by law (with notice where allowed). These duties last for [3] years after termination, and indefinitely for personal data and trade secrets.

13. Warranties and disclaimer

We will provide the service with reasonable skill and care. Otherwise, to the extent the law allows, the service is provided “as is” and “as available”. We do not guarantee that it will be uninterrupted or error-free, that AI output will be accurate or complete, or that third-party platforms (Meta, Telegram, AI providers, hosting) will stay available or keep their current terms.

14. Limitation of liability

To the extent the law allows: neither party is liable for indirect, incidental, special or consequential losses, or loss of profits, revenue, goodwill or data; and our total liability arising from these Terms in any 12 months is limited to the fees you paid us in the 12 months before the claim. These limits do not apply to your payment obligations, your indemnity below, breach of confidentiality, or liability that cannot be limited by law.

15. Indemnity

You will indemnify UnitOne AI against third-party claims, penalties and reasonable costs arising from: your breach of these Terms, the Acceptable Use Policy or platform policies; messages you send or authorise, including spam or unlawful content; your goods, services, prices and offers; or your failure to have a lawful basis for processing your customers’ data.

16. Governing law and disputes

These Terms are governed by the laws of India. The parties will first try to resolve any dispute through good-faith discussion between senior representatives for 30 days. Unresolved disputes will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in [Hyderabad, Telangana], in English. Subject to this, the courts at [Hyderabad, Telangana] have exclusive jurisdiction, including for urgent interim relief.

17. General

  • Changes: we may update these Terms; for material changes we will give at least [30] days’ notice by email or in the dashboard. Continuing to use the service after that means you accept them.
  • Force majeure: neither party is liable for delays caused by events beyond its reasonable control, including platform outages.
  • Assignment: you may not transfer this agreement without our consent; we may transfer it to a successor of our business.
  • Entire agreement: these Terms with the documents linked above are the whole agreement; if a provision is unenforceable, the rest stays in force. A failure to enforce is not a waiver.
  • Notices to us go to privacy@unitoneai.com and our registered office; notices to you go to the account owner’s email.

18. Contact and grievances

Questions: privacy@unitoneai.com. Grievance Officer: [Name of Grievance Officer], grievance@unitoneai.com, [Registered office address], [Hyderabad, Telangana], India. We acknowledge complaints within 24 hours and resolve them within 15 days.
